Blue Cloud Softech Acquires U.S. Energy Platform GIX in ₹373 Crore Deal 🌐

• Acquisition of 100% of U.S.-based Global Impx Inc. (GIX) via all-share transaction based on independent valuation of ~₹372.81 Crores.

• Strategic focus on AI-driven energy and digital infrastructure, including data centers and AI compute ecosystems.

• Includes ~196.7 acres of land in Chhatrapur, Odisha with IDCO approvals for phased data center development: 5MW → 25MW → 100MW hyperscale capacity.

• GIX brings capabilities in distributed energy infrastructure, Energy-as-a-Service (EaaS) models, and AI-driven energy optimization.

• Transaction subject to execution of definitive agreements, regulatory approvals, and shareholder approval via Special Resolution at EGM scheduled for May 04, 2026.

• Post-acquisition, GIX will become a wholly owned subsidiary of BCSSL, with several entities becoming step-down subsidiaries.

• BCSSL plans to establish a dedicated AI & Data Centre Infrastructure vertical for renewable energy-integrated data center operations.

• Management views this as a transformational opportunity at the convergence of energy, data, and AI platforms for global digital infrastructure growth.
