• The transaction is subject to necessary approvals, including regulatory and statutory clearances, and SEZ compliances.

• The MOU was executed on April 24, 2026, with the definitive agreement to be signed later.

• The sale does not constitute a related party transaction and is not part of a Scheme of Arrangement.
