- The resolution to approve the Scheme of Amalgamation was passed as a Special Resolution with requisite majority.

- Promoter & Promoter Group voted 100% in favour, casting 7,57,46,8621 votes (98.7% of their 7,67,46,8621 shares).

- Public Shareholders (Institutions & Non-Institutions combined) voted 98.11% in favour, with 11,34,04,984 votes for and 21,88,680 votes against.

- The Scheme involves Salasar Techno Engineering issuing 2,87,430 new equity shares of ₹1 each for every 100 equity shares of ₹10 each held in Hill View Infrabuild Limited.

- Additionally, Salasar will issue 8,358 (5%) Non-cumulative Compulsorily Redeemable Preference Shares (CRPS) of ₹10 each for every 100 equity shares of ₹10 each held in Hill View Infrabuild. The CRPS carry a 5% p.a. coupon and are redeemable at par within 20 years.

- The Appointed Date for the Scheme is proposed as 1st April, 2025.
