• Subsidiary Solarfusion Renewables is developing a solar power project in partnership with Vasuki Cement.

• The project will be implemented through two SPVs: Solarfusion RE Park One and Solarfusion RE Park Two.

• Purpose is to generate and supply solar power to Vasuki Cement under a long-term arrangement.

• Total agreement value is ₹36.30 Crores.

• Shareholding in SPVs: Solarfusion Renewables holds 74%, Vasuki Cement holds 26%.

• Scheduled commissioning is on or before June 30, 2026.

• The transaction is not a related party transaction and is conducted at arm's length.
